Terms of Use
Effective Date: March 1, 2026
1. Acceptance of Terms
By accessing or using the Elydora platform, APIs, SDKs, documentation, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Use. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these terms, and “you” refers to that organization. If you do not agree to these terms, you must not use the Service.
2. Definitions
“Service” means the Elydora responsibility infrastructure platform, including all APIs, SDKs, hosted services, documentation, and associated tooling provided by Elydora Inc.
“User” means any individual or entity that accesses or uses the Service, including developers, operators, and administrators.
“Agent” means any autonomous or semi-autonomous AI system registered with the Service to submit operation records.
“Operation Record” means a cryptographically signed, chain-linked record of an Agent action submitted through the Service.
“Evidence” means the structured, immutable data artifacts produced by the Service, including operation records, attestation receipts, chain hashes, and epoch roots.
3. Service Description
Elydora provides responsibility-grade infrastructure for AI Agents, including but not limited to: operation recording and chain-linking, cryptographic signature verification, attestation receipt generation, Merkle epoch anchoring, timestamp certification, agent identity and key management, verification and audit services, and evidence export tooling.
The Service is designed to produce evidence-grade records suitable for regulatory compliance, audit, and legal admissibility purposes.
4. Account Registration
To use the Service, you must create an account and provide accurate, complete, and current registration information. You are responsible for maintaining the confidentiality of your account credentials. You agree to notify Elydora immediately of any unauthorized use of your account. Elydora reserves the right to suspend or terminate accounts that provide false or misleading registration information.
5. Acceptable Use
You agree not to use the Service to: (a) violate any applicable law, regulation, or third-party right; (b) submit fraudulent, misleading, or fabricated operation records; (c) attempt to circumvent, disable, or interfere with the security features of the Service; (d) reverse engineer, decompile, or disassemble any part of the Service except as permitted by applicable law; (e) use the Service to facilitate illegal activity or to obscure the provenance of unlawful actions; (f) exceed published rate limits or access the Service through unauthorized means; or (g) interfere with or disrupt the integrity or performance of the Service.
6. Data and Evidence
You retain ownership of all operation data and payloads you submit to the Service. By using the Service, you grant Elydora a limited license to process, store, and transmit your operation data as necessary to provide the Service, including the generation of hashes, attestation receipts, and evidence artifacts.
Elydora processes and stores evidence in accordance with your service agreement. Retention policies, storage jurisdictions, and data lifecycle management are governed by the terms of your contract. Elydora may retain metadata and evidence artifacts as required for the integrity of the evidence chain, even after account termination.
7. Cryptographic Keys
You are solely responsible for the generation, storage, rotation, and security of all cryptographic keys used to sign operation records. Elydora is not a key custodian and does not have access to your private keys. Loss or compromise of your private keys may result in the inability to verify the provenance of operation records. Elydora shall not be liable for any loss or damage arising from your failure to adequately safeguard your cryptographic keys.
8. Service Level
Service availability and performance commitments are defined in the applicable Service Level Agreement (SLA) attached to your contract. Elydora does not guarantee the availability or performance of third-party Trusted Timestamping Authority (TSA) services integrated with the platform. Scheduled maintenance windows will be communicated in advance through published channels.
9. Intellectual Property
The Elydora Responsibility Protocol (ERP) specification is made available under open terms to promote interoperability and adoption. All platform implementation code, infrastructure, proprietary algorithms, trade secrets, and Elydora brand assets remain the exclusive property of Elydora Inc. Open-source SDKs are provided under their respective licenses as published in their repositories.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELYDORA INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ELYDORA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ELYDORA'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO ELYDORA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Modifications
Elydora reserves the right to modify these Terms of Use at any time. Material changes will be communicated through the Service dashboard, email notification, or publication on our website with at least thirty (30) days' prior notice. Your continued use of the Service after the effective date of any modifications constitutes acceptance of the updated terms.
12. Governing Law
These Terms of Use shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any dispute arising under these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.
